Terms of Service

Effective date: September 18, 2026

These Terms of Service ("Terms") govern your access to and use of HVACForms, including the HVACForms website, applications, services, and related features (collectively, the "Service").

By creating an account or using the Service, you agree to these Terms. If you are using the Service on behalf of an organization, you represent that you have authority to accept these Terms on behalf of that organization.

1. Accounts and Organizations

You must provide accurate account information and maintain the security of your login credentials. You are responsible for activity performed through your account.

Accounts may be associated with an organization. An organization may have an owner, administrators, members, viewers, or other roles made available through the Service.

Organization owners and other authorized administrators may manage organization membership, user roles, project assignments, and other access settings. Removal of a user from an organization may also remove that user's access to projects or other organization resources.

Membership in an organization does not necessarily provide access to every project belonging to that organization. Project access may be separately assigned and may include different access levels.

You must promptly notify HVACForms if you become aware of unauthorized access to your account or organization.

2. Use of the Service

HVACForms provides software tools intended to assist with HVAC testing, adjusting, balancing, documentation, calculations, quality checks, reporting, and related workflow activities.

You are responsible for determining whether information produced or stored through the Service is suitable for your particular project, contractual requirements, professional standards, codes, specifications, and other applicable requirements.

3. Professional Judgment and Verification

HVACForms is a workflow and calculation tool and is not a substitute for professional judgment, field verification, engineering review, or other professional services where those are required.

You are responsible for reviewing and verifying measurements, calculations, reports, recommendations, quality-review findings, and other information before relying on them or providing them to third parties.

4. Acceptable Use

You may not use the Service to violate applicable law, interfere with the operation or security of the Service, gain unauthorized access to systems or data, introduce malicious software, abuse automated access, or use the Service in a fraudulent or deceptive manner.

5. Your Data

You retain responsibility for information, measurements, project data, schedules, documents, reports, and other content submitted to the Service.

You grant HVACForms the rights reasonably necessary to host, process, transmit, back up, and otherwise handle that information for the purpose of providing, securing, supporting, and maintaining the Service.

You are responsible for ensuring that you have the rights and permissions necessary to submit information to the Service and to share generated reports or other outputs with third parties.

You are also responsible for downloading, exporting, or otherwise retaining copies of information that you may need for business, contractual, regulatory, recordkeeping, or other purposes.

6. Privacy

Use of the Service is also subject to the HVACForms Privacy Policy.

7. Subscription Plans and Capacity

HVACForms may offer free and paid subscription plans. Plans may differ in available features, organization-user capacity, active-project capacity, billing interval, and other usage limits.

The limits and features applicable to standard subscription plans are those presented through the Service at the time the applicable subscription is selected, subject to these Terms.

Some capabilities may be restricted once an organization reaches an applicable plan limit. For example, the Service may prevent the organization from adding additional users or creating additional projects until usage is reduced or the organization moves to a plan with sufficient capacity.

A downgrade, expiration, cancellation, or other reduction in subscription level may also restrict access to features, projects, reports, files, or other information that was available under a higher subscription level.

HVACForms does not guarantee that information created or stored under one subscription level will remain accessible under a lower subscription level or after paid access ends.

8. Custom Enterprise Subscriptions

HVACForms may offer individually negotiated subscription arrangements, including Custom Enterprise subscriptions. These arrangements may include customer-specific pricing, licensed-user capacity, billing frequency, subscription term, project capacity, or other commercial terms ("Custom Subscription Terms").

Custom Subscription Terms may be set forth in an order form, quote, proposal, statement of work, or other written agreement accepted by HVACForms and the customer. Any such Custom Subscription Terms are incorporated into these Terms.

If Custom Subscription Terms conflict with these Terms, the Custom Subscription Terms will control with respect to the specific commercial terms addressed by that agreement. Except as otherwise stated in the applicable Custom Subscription Terms, use of the Service remains subject to these Terms.

Pricing or capacity limits displayed publicly for standard subscription plans do not apply to a Custom Enterprise subscription to the extent different pricing, licensed-user capacity, project capacity, or other terms have been separately agreed upon.

Changes to negotiated pricing, licensed-user capacity, subscription term, or other Custom Subscription Terms require agreement between HVACForms and the customer and are not established solely by changes made through the standard subscription interface.

9. Billing and Payment

Paid subscriptions may be billed monthly, annually, or according to another billing interval established in applicable Custom Subscription Terms.

Subscription management may be limited to the organization owner or another person specifically authorized to manage billing on behalf of the organization.

Payments may be processed through a third-party payment processor. HVACForms does not require customers to provide payment-card numbers directly to HVACForms when payment information is collected by the designated payment processor.

You are responsible for providing valid billing information and for charges associated with the subscription selected or agreed to on behalf of your organization.

By purchasing a recurring paid subscription, including a Custom Enterprise subscription where recurring billing applies, you authorize HVACForms and its payment processor to charge the applicable recurring subscription fee according to the billing interval associated with your subscription.

Unless otherwise stated at the time of purchase or in applicable Custom Subscription Terms, paid subscriptions automatically renew for successive billing periods until canceled.

Except where required by applicable law or expressly provided in applicable Custom Subscription Terms, subscription fees that have already been paid are non-refundable and are not prorated for partial billing periods.

10. Cancellation, Expiration, and Downgrades

Unless otherwise provided in applicable Custom Subscription Terms, cancellation of a paid subscription will take effect at the end of the then-current paid billing period.

Paid access will remain available through the end of that billing period. After the period ends, the subscription will not renew and the organization may return to the applicable free level of service or otherwise lose paid functionality.

Cancellation, expiration, termination, or downgrade may result in immediate or subsequent restrictions on access to projects, reports, files, forms, organization resources, or other information stored through the Service.

HVACForms does not guarantee continued access to or retrieval of customer data after paid access ends or after an organization moves to a subscription level that does not include the features or capacity previously used.

Customers are responsible for downloading, exporting, or otherwise retaining copies of information they wish to keep before canceling, downgrading, or allowing a paid subscription to expire.

HVACForms may continue to retain information after access ends for operational, backup, security, fraud-prevention, contractual, legal, or other legitimate business purposes. Retention of information does not create an obligation to restore or continue providing customer access to that information.

Subject to applicable law and any separately agreed contractual requirements, HVACForms may delete or anonymize information after an account, organization, or subscription has been canceled, terminated, downgraded, or inactive for a period of time.

HVACForms does not guarantee that deleted information can be restored from backups or other systems.

If applicable Custom Subscription Terms establish a minimum subscription term, different cancellation requirements, data-retention commitments, export rights, or other termination provisions, those terms will apply to that subscription.

11. Failed Payments and Nonpayment

If a payment cannot be completed, a subscription may become past due, unpaid, paused, canceled, or otherwise restricted depending on the payment status reported by the payment processor.

HVACForms may restrict or suspend paid functionality following nonpayment. The organization's effective subscription level or available features may change if a paid subscription is canceled, expires, or otherwise ceases to be active.

Loss of paid access due to nonpayment may also restrict access to information or functionality associated with the paid subscription.

12. Pricing Changes

HVACForms may change the pricing, features, or capacity of standard subscription plans from time to time.

Pricing changes to a recurring standard subscription will apply prospectively and will not retroactively change charges for a billing period that has already been paid.

Where appropriate, HVACForms will provide notice of material pricing changes before they apply to a subsequent renewal.

Updates to publicly available standard-plan pricing do not by themselves modify separately agreed Custom Subscription Terms.

13. Changes to the Service

HVACForms may add, modify, restrict, or discontinue features as the Service evolves. We may also perform maintenance or make changes necessary for security, reliability, legal compliance, or operational reasons.

Any separately agreed Custom Subscription Terms will continue to apply in accordance with their terms unless modified by agreement between HVACForms and the customer.

14. Availability and Customer Backups

HVACForms does not guarantee that the Service will be uninterrupted, error-free, or available at all times.

You are responsible for maintaining copies of information that is necessary for your business, contractual obligations, professional requirements, or recordkeeping needs.

The Service should not be treated as the sole permanent archive for information that you are required to retain.

15. Intellectual Property

HVACForms and its software, interfaces, designs, documentation, trademarks, and other proprietary materials are owned by HVACForms or its licensors and are protected by applicable intellectual-property laws.

These Terms do not transfer ownership of the Service or its underlying software to you.

16. Suspension and Termination

We may suspend or terminate access to the Service when reasonably necessary to address violations of these Terms, security threats, fraudulent activity, nonpayment, legal requirements, or material risks to the Service or other users.

You may stop using the Service at any time. Stopping use of the Service does not by itself cancel an active paid subscription. Paid subscriptions must be canceled through the available billing process or as otherwise provided in applicable Custom Subscription Terms.

Unless otherwise stated in applicable Custom Subscription Terms, cancellation of a paid subscription will take effect at the end of the then-current paid billing period and will prevent the subscription from renewing.

Following cancellation, termination, or expiration, HVACForms may restrict or discontinue access to the Service and to information stored through the Service. Customers should export information they wish to retain before their access ends.

17. Disclaimer of Warranties

To the extent permitted by law, the Service is provided "as is" and "as available" without warranties of any kind, whether express, implied, statutory, or otherwise.

HVACForms does not warrant that calculations, quality-review findings, reports, outputs, or other information generated through the Service will satisfy every project, specification, contractual obligation, regulatory requirement, or professional standard.

HVACForms does not warrant that information stored through the Service will remain available indefinitely or remain retrievable after account, subscription, or organization access ends.

18. Limitation of Liability

To the maximum extent permitted by applicable law, HVACForms will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, business opportunities, data, or goodwill arising from or related to use of the Service.

To the maximum extent permitted by applicable law, HVACForms will not be liable for loss of or inability to access information following cancellation, expiration, termination, suspension, downgrade, or deletion, except to the extent liability cannot lawfully be excluded.

To the maximum extent permitted by law, HVACForms' aggregate liability arising from or relating to the Service will not exceed the amount paid by you to HVACForms during the twelve months preceding the event giving rise to the claim.

19. Changes to These Terms

HVACForms may update these Terms from time to time. Material changes will be communicated in a manner appropriate to the nature of the change.

Continued use of the Service after revised Terms become effective may constitute acceptance of the revised Terms where permitted by law.

Updates to these Terms do not by themselves modify separately agreed pricing, licensed-user capacity, subscription term, data-retention commitments, or other Custom Subscription Terms unless the applicable custom agreement permits such a modification or HVACForms and the customer agree to the change.

Questions regarding these Terms, billing, data access, or Custom Enterprise subscriptions may be submitted through the HVACForms contact page.
